Terms of Use
Effective date: October 20, 2026
Last updated: October 20, 2026
Version: 5
Contracting entity: DOLLAR JUDGE INC, doing business as Headii
Address: 522 W RIVERSIDE AVE STE N, SPOKANE, WA 99201-0581, UNITED STATES
Support: support@headii.com
Legal notices: legal@headii.com
These Terms of Use (the “Terms”) are an agreement between you and DOLLAR JUDGE INC, doing business as Headii (“Headii,” “we,” “us,” or “our”). They govern your use of the Headii mobile application, software and firmware Headii makes available for compatible devices, and related account, digital, cloud and artificial-intelligence services (together, the “Services”).
Hardware transactions are addressed separately in Section 1. Our Privacy Policy explains how Headii handles personal information; these Terms do not authorize undisclosed data uses.
The Services may be used with Headii-branded or other compatible wearable devices with disclosed audio, imaging or other capabilities. An available feature you deliberately enable may operate on a schedule, repeatedly, continuously or in response to a disclosed trigger without requiring a new manual action for each event. Before enablement, the feature explains what it captures or processes, its operating conditions and how to stop it. Enabling one feature does not authorize undisclosed capture, listening, sensor access or other uses, and these Terms do not themselves enable a feature or replace any required permission or consent.
1. Identity, Effective Date and Scope
DOLLAR JUDGE INC, doing business as Headii, provides the Services described above. The effective date shown with this copy identifies this version. Acceptance of these Terms and the application of later changes are governed by Sections 2 and 18; publication alone does not create your agreement. These Terms apply only to the App, compatible-device software, and related account, digital, cloud and AI services Headii makes available to you. A description in these Terms does not itself make a Service available in every location or on every device.
Physical-hardware purchases, delivery, returns, repairs and warranties are governed by the applicable transaction and warranty terms, not these Terms. The seller identified for your transaction may be Headii or another seller; referring to a hardware seller does not imply that it is a different company. This separation does not limit Headii's own obligations as a seller, manufacturer, warrantor or service provider where applicable, including obligations for software, firmware or digital services under applicable law or binding commitments, or your rights under a separate hardware contract or guarantee.
2. Documents and Supplemental Terms
The Regional Terms of Use contain the additional provisions for the countries they identify. They are presented with these Terms where applicable and control only their regional subject matter; a link does not activate a market or replace required contract information or acceptance.
These Terms govern general use of the Services. Additional terms for a particular region, feature or transaction may appear in clearly identified sections of these Terms or the Paid Services Terms, or in a supplement. We will present the applicable additional terms before they apply to you and obtain any acceptance required under Section 18 and applicable law. Where affirmative agreement is required, displaying terms alone is not enough. The documents and disclosures apply within the following scope:
- regional terms control only the regional matter they address;
- the Paid Services Terms control paid-service matters;
- transaction disclosures supplement these documents with the price, quantity, meter and other facts for that purchase; and
- a contextual notice or choice applies only to the collection, permission or processing event for which it is shown.
Mandatory law and non-waivable marketplace rights control where they provide protections that these documents cannot limit. A supplementary page may provide current availability or support information, but it cannot silently change your User Content rights, purchased value, metering, refunds, liability, dispute rights or privacy protections.
These Terms form a contract only when you take the affirmative action Headii presents to accept them, such as selecting a button or control clearly labeled to accept the Terms. Receiving or acknowledging the Privacy Policy, granting a device permission, making a feature-specific privacy choice, accepting supplemental feature terms or confirming a purchase does not by itself accept these Terms. Headii may present related items together when each remains clear and any legally required choice is separate.
The reverse is also true: accepting these Terms does not by itself provide a permission required for sharing personal information with a third-party AI provider. Any such permission applies to the data, purpose and recipients explained for that choice; it does not expand the User Content permission in Section 7. These different legal effects do not require separate pages, pop-ups or clicks when an existing flow clearly provides the required information and choices.
An AI feature that requires third-party disclosure and explicit permission is not available unless and until the disclosure, affirmative choice, refusal result, withdrawal method and version record are in place. A feature does not become available merely because these Terms describe it.
Where applicable law requires us to provide you with a copy or confirmation of your contract, we will provide the required information within the required time and in a form you can keep and reproduce unchanged. We may use an existing Headii or marketplace delivery arrangement that meets those requirements. Keeping an internal record or only linking to a changeable webpage does not replace a required copy provided to you. Section 4 of the Paid Services Terms addresses confirmations for covered Paid Time Pack purchases.
Where applicable law requires an online withdrawal function for a contract you make with Headii through an online interface, we will identify the function in the information for that contract and make it prominently displayed, easily accessible and available throughout the applicable withdrawal period. You can send your withdrawal statement through a clearly labeled confirmation action and receive an acknowledgment that you can keep and reproduce unchanged, including the statement and its submission date and time, without undue delay. The function supplements other legally available withdrawal methods. It does not itself create a withdrawal right for a contract outside the applicable rules or change the period or consequences of an existing right. Section 9 of the Paid Services Terms gives further details for covered Paid Time Packs.
3. Eligibility and Adult-Only Use
The Services are intended only for adults. You may use them only if you are at least 18 years old, have reached any higher age of legal adulthood where you live, and can legally enter into this agreement. The Services are not directed to children.
The Services are offered through individual accounts, not as enterprise accounts or with an enterprise service-level commitment. Individual use includes your own use at work or school, subject to these Terms and applicable law. If you use the Services at work, school, a venue or another organization, you remain responsible for following applicable organizational rules. Having an individual account does not by itself determine your legal status as a consumer.
4. Accounts and Credentials
You must provide accurate information, protect your credentials and devices, and promptly contact Headii if you believe your account has been compromised. You may not sell, rent, transfer or share access to your account.
Headii may use proportionate verification for sensitive account actions. A device, device identifier or hardware order record does not by itself prove ownership of a Headii account. Sign-in methods can vary by platform and location. Content stored locally on one device may not appear on another even if both use the same account.
5. App and Software License
Subject to these Terms and applicable marketplace rules, Headii grants you a limited, personal, non-exclusive, non-transferable and non-sublicensable license to install and use the App and compatible-device software on devices that you own or are authorized to use, solely for their intended functions and the individual use described in Section 3. Rights in User Content and generated results are governed by Section 7, not by this software license.
For a copy of the App obtained through Apple's App Store, the standard end-user license agreement provided by Apple governs the license to that copy unless the App Store product page expressly identifies a custom license agreement for it. These Terms separately govern the Headii account, cloud and AI Services, User Content and paid-service matters. If a custom App Store license is later identified, it replaces the Apple standard license only for the App-license matters it addresses; it does not silently reduce the protections or rights stated in these Terms, the Privacy Policy or the Paid Services Terms.
Except where applicable law does not allow the restriction, you may not copy, sell, lease or sublicense the Services; reverse engineer or attempt to derive non-public source code, models, credentials or interfaces; bypass payment, entitlement, capture-indicator, safety or security controls; probe, scrape, overload or disrupt the Services; gain unauthorized access; or remove proprietary notices. Open-source and third-party components remain subject to their own licenses where those licenses control.
You must not access, use, export, re-export or transfer the Services or related software in violation of applicable export-control or economic-sanctions laws. Headii remains responsible for its own obligations under those laws. Any related suspension or termination is governed by Section 13, subject to applicable law.
Headii's commitments in these Terms, the Paid Services Terms and the Privacy Policy remain applicable. Headii will not invoke a marketplace license to expand its use of your information or User Content, reduce its purchased-value or account-termination protections, or impose a liability limitation or dispute procedure inconsistent with Sections 15–17. This does not alter rights or duties between you and the marketplace itself.
6. Recording, Capture and Other People
Some Services may let you capture or process audio, images, video, conversations, surroundings or information about other people. Laws and expectations differ by place and context.
Before capturing, uploading, transcribing, translating, summarizing, sharing or otherwise using information about another person, you must provide all notices and obtain all permissions, consents and rights required by law. You must respect reasonable expectations of privacy and applicable workplace, school, venue and organizational rules. Do not conceal, disable, obstruct or misrepresent a capture indicator, and stop when continued use would be unlawful or violate another person’s rights.
Capture indicators and notices vary by feature and are designed to communicate the relevant capture or task state. A light, sound or App message communicates product state; it does not itself prove another person’s legal consent or replace any notice or permission you must obtain.
Your responsibilities do not transfer Headii’s own legal obligations to you or waive another person’s rights. Headii remains responsible for the obligations that apply to the personal-information processing it controls or carries out on behalf of another controller, including applicable lawful grounds, notice, security, retention and rights-request duties. Accepting these Terms or submitting a recording does not make another person a party to your contract with Headii or supply that person’s consent. Headii does not undertake to review each recording to determine whether your capture or use is lawful.
7. User Content
“User Content” means audio, photographs, video, text, prompts, attachments and other material that you submit to or process through the Services, together with associated transcripts, translations, summaries, titles and results.
“AI Improvement Contributions” means only eligible interaction text or original interaction voice from the exact disclosed eligible future interactions that your enabled choice for that contribution type prospectively designates while the choice remains on, until you withdraw it. Merely using an AI feature, submitting content for support or accepting these Terms does not designate a contribution. Historical content, ineligible content and content from another feature remain ordinary User Content outside that choice.
As between you and Headii, you keep the rights you have in your User Content. You give Headii and providers acting for us a limited, worldwide, non-exclusive permission to host, copy, transmit, transform and otherwise process User Content only as reasonably necessary to:
- perform the action you request and return or save its result;
- apply necessary automated integrity controls to deliver and protect the action you requested;
- investigate a specific support request or a specific suspected security, abuse or legal incident;
- comply with applicable law and valid legal process; and
- enforce these Terms only in connection with that specific incident.
For ordinary User Content that is not an AI Improvement Contribution, this permission lasts only as long as needed for those purposes under the Privacy Policy. Necessary automated integrity controls do not authorize general content monitoring. This ordinary User Content permission does not permit advertising, unrelated profiling, general service improvement, model training or routine human quality review. Personnel may access the minimum necessary content when you deliberately submit it for support or when access is reasonably necessary to investigate a specific suspected security, abuse or legal incident.
If Headii makes an optional AI-improvement program available and you affirmatively choose to participate, you give Headii a limited, worldwide, non-exclusive permission to use only the AI Improvement Contributions covered by that choice for the disclosed Headii-directed training, evaluation and improvement purposes. Eligible interaction text and original interaction voice require independent choices and can be withdrawn independently. Each choice is off by default, applies only prospectively and may remain on until you withdraw it. Declining or withdrawing does not reduce ordinary features or purchased value.
Before any contribution is designated or used, the separate notice identifies the eligible interaction, contribution type, purpose, recipient roles and applicable retention and withdrawal treatment. Providers may perform bounded storage or computation solely on Headii's documented instructions for the disclosed Headii-directed purpose. No provider or other third party receives an independent right to retain or use an AI Improvement Contribution to train, fine-tune, improve, evaluate, benchmark, validate or develop its own model, another party's model, a reusable dataset or another service.
The contribution choice does not authorize historical collection, background listening, advertising, voice identification, voice cloning, unrelated profiling or routine human review. Withdrawal stops future designation and use governed by that choice. The notice shown before participation must explain the treatment of existing contribution copies and any effect on training already completed; these Terms do not promise deletion from a completed model or model unlearning where that result cannot be provided. Other User Content remains governed by the ordinary permission above.
You represent that you have the rights needed to submit and process User Content and that your instructions do not violate law or another person’s privacy, publicity, intellectual-property or other rights. When you direct content to a device library, another application, another service or another person, the destination controls its copy and Headii generally cannot retrieve or delete it.
To the extent Headii owns rights in a result generated specifically for you, or is authorized to license those rights, Headii gives you a worldwide, non-exclusive license to keep, copy, edit, share, publish and otherwise use that result for personal, work and commercial purposes for as long as those rights exist. Headii charges no separate result-license fee; charges for the underlying Services remain governed by the Paid Services Terms. Results may not be unique.
This license covers only rights Headii owns or may license. It is subject to applicable law, Section 11 and any result-use restriction that was clearly disclosed before you chose the affected feature or purchase and validly became part of your contract under Section 2. Except for the permission for Headii-provided materials below, it does not grant rights in third-party material, provider APIs or models, or access to an account, App or service. You may permit a recipient to use a result only within the same limits and must pass on any required license, attribution or use notice.
When Headii provides music, templates or other creative materials for incorporation into your work through the Services, Headii grants you a worldwide, non-exclusive permission to incorporate and adapt those materials using the available tools, and to keep, copy, edit, share, publish and commercially use the resulting work with those materials incorporated. You may allow recipients to use that work within the same limits. Unless a separate license expressly permits it, this permission does not include extracting or distributing the materials as standalone assets, selling them separately or making them available as a competing stock-material library. It does not restrict your independent rights in materials you supply or rights provided by applicable law.
Headii will offer materials under this permission only where it has the rights needed to do so. Any narrower material-specific license must be clearly disclosed before you choose the material or make an affected purchase and validly become part of your contract under Section 2. Removing a material from the Services or changing its license later does not by itself reduce your permission to use a work you lawfully created with it. The account-closure and Service-discontinuation protections and other limits on the result license below also apply to this permission.
An upstream provider restriction does not automatically bind you or retroactively narrow this result license. Headii will not make a processing route available under the standard result license above unless Headii has verified that it may grant that license for the route's intended use. If a route can support only narrower result rights, the affected feature or purchase will remain unavailable until the restriction is clearly disclosed before use or purchase and validly becomes part of the applicable contract. A later provider change cannot reduce rights in a result you already lawfully received.
Closing your account, stopping use of the Services or discontinuation of the Services does not by itself end this license for a result you lawfully received. The license does not authorize unlawful use, override third-party rights or binding legal orders, or change the consequences of a transaction validly withdrawn from, rescinded, terminated under a statutory remedy or found invalid. Your independent rights in material you supplied are not reduced. Whether a result is protected by copyright, and who owns any copyright, depend on applicable law and the circumstances; these Terms do not create copyright where none exists.
This result license is not a promise of continued cloud storage, Service access or recovery of a deleted result. The Privacy Policy governs Headii's retention and deletion. Applicable privacy, confidentiality, publicity, intellectual-property and AI-disclosure requirements, and your non-waivable consumer rights and remedies, remain unaffected.
8. AI, Transcription, Translation and Other Results
Artificial-intelligence and machine-processed results can be incomplete, inaccurate, delayed, misleading or unsuitable for your circumstances. Transcripts can omit or misidentify words, translations can change meaning, and summaries can omit important details.
Review important results against the original source. Do not use the Services as the sole record of an important conversation or as the sole basis for an emergency, medical, legal, financial, employment, housing, education, insurance, credit or other high-impact decision. Obtain qualified professional assistance where appropriate.
When applicable law requires it, Headii will identify direct interaction with an AI system and will label or disclose generated or manipulated content in the manner required for the applicable feature and context.
Where a platform rule requires a way to report or flag AI-generated content, the affected generative-AI feature is not available unless and until it has an in-App reporting or flagging control and a working review process. If you deliberately report a specific AI result, Headii may review the reported result, reason and context you choose to add to investigate that report and inform content-safety filtering and moderation, subject to the Privacy Policy. An AI-content report is not product Feedback under Section 14 and does not authorize general model training or routine review of unrelated User Content.
9. Paid Services and Free Allowances
This version of the Paid Services Terms applies only when a Paid Time Pack is offered to you and you accept the terms and disclosures for that transaction. Purchased Transcription Minutes and Translation Minutes are separate balance classes and do not expire merely because time passes or an account is inactive. The Paid Services Terms govern metering, failed work, refunds, deletion and service discontinuation. A subscription or materially different future paid service requires updated or supplemental terms and commercial disclosures presented and accepted before enrollment or billing.
Free, complimentary and promotional allowances are separate from purchased balances. We disclose their eligibility, amount, permitted use, expiry rules, deduction order, deletion effect and other material conditions clearly with the offer, before any qualifying purchase or action. Any applicable expiry date is shown when the allowance is credited. These allowances cannot reclassify, reduce or shorten purchased value.
Describing a benefit as free, complimentary or promotional does not remove rights attached to a purchase or a refund or other remedy. Those rights and any mandatory protections prevail over conflicting grant conditions. We will not apply a later offer's conditions to reduce or shorten an allowance already validly credited. A disclosed, lawful expiry or deletion condition is not a later change merely because it takes effect after crediting.
10. Third-Party Services and Marketplaces
The Services may interoperate with an operating system, sign-in provider, app marketplace, communications service, cloud processor or destination you select. A third party may apply its own terms and privacy practices to its independent service.
Headii remains responsible for the commitments it makes about Headii and providers acting on its behalf. Headii is not responsible for an independent third party’s service, content or conduct except where applicable law provides otherwise. Mandatory marketplace terms and remedies continue to apply.
Weather information is for general reference, not a location- or time-specific guarantee. Forecasts are uncertain and must not be your sole basis for safety, aviation, marine navigation, emergency or similar high-risk decisions. Check official weather services and relevant authorities. This does not limit rights or responsibilities that applicable law makes mandatory.
11. Acceptable Use
You may not use the Services to:
- violate law, these Terms or another person’s rights;
- stalk, harass, threaten, exploit, discriminate against or impersonate another person;
- conduct unlawful surveillance or capture content without required permission;
- create, obtain, distribute or facilitate unlawful or abusive content;
- infringe privacy, publicity, intellectual-property or other rights;
- distribute malware, evade controls, test vulnerabilities without authorization or interfere with the Services;
- commit fraud, manipulate a payment, abuse a refund or obtain an entitlement without authorization;
- resell or transfer an account or paid entitlement;
- unless Headii expressly permits it for the applicable result, use a result generated through the Services, or data derived from that result, to train, fine-tune, distill, develop, improve, evaluate or validate an artificial-intelligence, machine-learning, speech, language, audio or multimodal model; create training, evaluation or benchmark data for such a model; or develop a competing model or AI, speech, language, audio or multimodal-processing service;
- use a result as the sole basis for a decision producing legal or similarly significant effects about another person;
- attempt to reidentify a person from information maintained as legally de-identified or effectively anonymized, except for a controlled test of the relevant de-identification or anonymization expressly authorized by Headii and permitted by law; or
- associate pseudonymized records with a person without both lawful authority and a permitted purpose, or bypass access controls to make that association.
These restrictions do not prevent using an available, lawful account, transaction, support or privacy-request process for your information or information you are authorized to handle. They do not grant access to another person's records, authorize a new processing purpose, or replace any permission or legal condition that applies to that processing.
The result-use restriction above does not restrict material you supplied, or material you create independently without using a Service result, to the extent you hold the necessary independent rights.
12. Service Availability, Updates and Changes
Headii may update the Services to change features, improve performance, address security or legal requirements, or maintain compatibility. An update may be required when an older version creates a material security, device, data or compatibility risk.
The Services may not always be available, uninterrupted or error-free. Headii may change, suspend or discontinue a free feature. We will not use an availability change or an operational page to retroactively reduce or expire completed purchased rights.
Any update, change, suspension or discontinuation remains subject to the obligations preserved in Section 1, including any software functionality or updates Headii is required to provide even without a separate software fee.
Regional service-change rights. If an applicable regional law gives you additional rights when a digital service changes, the regional terms presented for that Service identify the applicable reasons, notice, retained-copy information, termination period and remedy. A regional route that requires those particulars is not made available until the applicable regional terms are complete and available. Nothing in these Terms limits a mandatory conformity, continued-access, termination, refund or other remedy.
New purposes, sensitive processing, model training, routine human review, public sharing, or material changes to recipients, retention or international processing require an updated privacy notice and any choices or consent required by law before they begin. These Terms do not provide advance permission for those changes.
13. Suspension, Termination and Account Deletion
You may stop using the Services at any time and may request account deletion as described in the Privacy Policy.
Headii may reasonably restrict or suspend access to address suspected fraud, unlawful conduct, a material security risk, nonpayment or a material breach. Headii may permanently terminate an account only for a material or repeated breach, fraud, a material security risk, or when reasonably necessary to comply with law or prevent material harm. Headii may act before notice, or delay details, when reasonably necessary to comply with law, protect security, preserve an investigation or prevent harm. When permitted and reasonably practicable, we will provide a general reason, describe the effect on access and balances, and identify an available support or review route.
During a temporary restriction, unused purchased value is frozen rather than used, deducted or expired. We will review temporary restrictions without undue delay and maintain them only for as long as reasonably necessary for the permitted purpose or required by law. When that justification ends, we will restore eligible access or apply a justified permanent-termination decision and the corresponding purchased-value protections. Repeated temporary restrictions cannot be used to avoid those protections. A permanently invalid entitlement—such as one that was duplicated, fraudulent, refunded, reversed or voided—may be corrected. Permanent account termination does not automatically forfeit legitimately acquired unused purchased value. If termination prevents use, the purchase disclosures and Paid Services Terms applicable to that release will identify the operational continued-use, transfer, refund, compensation or other lawful remedy. Headii will not offer a Paid Time Pack until one such outcome is selected and available for the transaction.
Account deletion includes account-associated App-managed data as described in the Privacy Policy. A phone that is offline must reconnect and receive the deletion status before it can carry out the corresponding local cleanup. Account deletion does not remotely erase content or binding state on a compatible Headii device, files in your system photo library or Files, downloaded exports, or copies held by other people or independent services. Deletion does not itself expire or forfeit unused purchased value. Before deletion, Headii will explain its effect on each paid balance and the single operational remedy that applies to that purchase. Any post-deletion restoration process is separate from recovery of the deleted account or User Content and must use proportionate verification.
14. Headii Intellectual Property and Feedback
The Services, including software, designs, interfaces, trademarks, documentation and non-user content, are owned by Headii or its licensors and protected by law. Except for licenses expressly granted in these Terms, no rights are transferred to you.
“Feedback” means ideas or suggestions you voluntarily submit to Headii as product feedback, including for new or improved products or services. You give Headii non-exclusive permission to use, develop and commercialize those ideas or suggestions without compensation, subject to the protections below. You keep any rights you have in the Feedback, and we will not publicly identify you as the source without permission.
This permission concerns the ideas or suggestions, not a general right to reuse the materials that convey or accompany them. Personal information, recordings, messages, prompts, attachments, diagnostic logs and other User Content remain subject to Section 7 and the Privacy Policy, including their purpose, access and retention limits. Submitting material for support or labelling it as feedback does not authorize general product improvement, model training or routine human quality review of that material. Nothing in this Section restricts a review or complaint protected by law.
15. Warranties, Consumer Guarantees and Service Disclaimers
For consumers in Québec, the “as is” and “as available” warranty exclusions and the exclusions of implied warranties in the following paragraph do not apply. Your warranties and remedies are determined by applicable law.
To the maximum extent permitted by law, the Services are provided “as is” and “as available.” Headii disclaims implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. Headii does not promise that AI or machine-processed results will be accurate, complete or fit for your circumstances, or that the Services will always be uninterrupted or error-free.
These disclaimers apply only to the Services covered by these Terms and do not limit hardware warranties given by Headii or another warrantor. Nothing in these Terms excludes or limits an express promise, warranty, consumer guarantee, conformity right, refund right, cancellation right or other remedy that applicable law or a marketplace does not allow the parties to exclude or limit.
16. Liability and Non-Waivable Rights
For consumers in Québec, the exclusions of damages and the fixed liability ceiling in the following paragraph do not apply. Liability is determined by applicable law.
To the maximum extent permitted by law, Headii will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, goodwill or data, arising out of or relating to the Services. Subject to the exceptions below, Headii's aggregate liability arising out of or relating to the Services will not exceed the greater of (a) the amount you paid Headii for the affected Services during the 12 months before the event giving rise to the claim and (b) USD 100.
These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, death or personal injury, an express obligation concerning a refund or remaining purchased value, or any other liability or remedy that applicable law does not allow the parties to exclude or limit. They also do not reduce mandatory consumer guarantees, conformity rights, privacy or data-protection remedies, or marketplace remedies. Some jurisdictions do not allow certain exclusions or limits, so some of them may not apply to you. These Terms do not require a consumer to indemnify Headii.
17. Disputes, Applicable Law and Access to Courts
You may contact support@headii.com to try to resolve a concern informally, but doing so is voluntary and is not a condition to bringing a claim or using another complaint or remedy route.
For consumers in Québec, the Washington-law choice and Washington-court provision in the following paragraph do not apply. These Terms are governed by the laws of Québec and the applicable federal laws of Canada. You may bring a claim before a court with jurisdiction under those laws.
These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-law rules. This choice does not deprive you of a mandatory protection of the law of the country, state or province where you habitually reside. You and Headii may bring a claim in the state or federal courts located in Spokane County, Washington. If you are a consumer, you may also bring a claim in any court made available by non-waivable law, including an eligible court where you live.
These Terms do not require arbitration, waive a class action or jury right, make an informal process mandatory, or waive a regulator, small-claims, complaint or other remedy that applicable law preserves.
18. Changes, Notices, General Terms and Contact
Headii may update these Terms and will identify the new version and effective date. Non-material corrections or clarifications may be published without renewed acceptance. Before a material change applies to existing users, Headii will provide the notice and obtain any affirmative acceptance or choice required by law and the nature of the change. Continued use alone does not constitute renewed acceptance when an affirmative action is required.
A later version cannot retroactively expire, reduce, reclassify or otherwise worsen rights attached to a completed purchase. A later version of these Terms, a change of supplier or an assignment of Headii's business does not retroactively reduce a result license already granted under Section 7. Different terms may apply to a future transaction after they are disclosed and accepted for that transaction.
If a provision of these Terms is invalid or unenforceable, the consequences are determined by applicable law. The remaining provisions continue to apply so far as they can lawfully and practicably operate without that provision. Nothing in this paragraph requires an unfair consumer term to be rewritten or limits any consumer protection or court power provided by law. A delay in enforcement is not a waiver. Headings are for convenience.
You may not assign these Terms without Headii’s consent. Headii may assign them as part of a merger, reorganization or sale of the relevant business, subject to law, required notice and continued protection of existing purchased rights. An assignment does not expand the User Content permission in Section 7 or remove the privacy commitments applicable to personal information. Provisions that by their nature must continue after termination survive only to the extent necessary and lawful. The result license and the result-use conditions validly applicable to the request that produced the result survive account termination as provided in Section 7.
